Christopher J. Moceri

Christopher J. Moceri is a partner in the Southfield office of Jaffe Raitt Heuer & Weiss. He is the Co-Chair of the Firm's Corporate Practice Group and represents a wide range of clients in the areas of mergers and acquisitions, corporate finance, complex business transactions and general corporate matters. Clients value Chris' pragmatic and businesslike approach to his practice.

Mergers & Acquisitions:

Chris represents private clients in merger and acquisition transactions of all types, including asset purchases, equity purchases and mergers. He has participated in transactions across a multitude of industries and jurisdictions from letter of intent to closing.

Corporate Finance:

Chris works with start-up and growing enterprises in structuring, negotiating and documenting private placements of debt and equity financings, including convertible note rounds and the sale of preferred stock. He also has an expertise in facilitating and documenting complex capital structures in limited liability companies, including operating agreements with sophisticated and unique distribution waterfalls and governance provisions.

General Corporate:

Chris acts as outside counsel in advising company clients and their principals on day-to-day legal needs. These services cover a variety of issues, including advising, drafting and negotiating commercial contracts, joint ventures, employment and contractor agreements, non-competes and equity incentives. He also works with business owners on multifaceted issues involving governance and control, transfer restrictions, buy/sell agreements and other general corporate matters.

Chris earned his Bachelor's degree in finance with honors from Michigan State University and is a magna cum laude graduate of Michigan State University College of Law, where he served as senior managing editor of the Michigan State Law Review.
